This Career Amend Terms of Use (“Terms” or “Agreement”) is a legal and binding agreement between you, the user (referred to as “user” or “you”), and Career Amend (together with its subsidiaries and international affiliates, hereinafter “Career Amend,” “us,” “we,” or “our” or “the Company”), which operates in the United States (U.S.), the United Kingdom (U.K.), India, Australia, and the United Arab Emirates (U.A.E.), collectively referred to as the “Territories.” These Terms govern your access to and use of our websites, including www.careeramend.com, our mobile applications, and all associated forums, groups, or communication channels (collectively, the “Platform”) and the curated or specially designed online higher education, industry-relevant certification programs, and career assistance services offered through the Platform (“Programs”).

By accessing or using the Platform and/or enrolling in any Program, you acknowledge and agree that you have read, understood, and agree to be bound by these Terms, including any additional terms, conditions, and policies referenced herein or made available by us. If you do not agree with or consent to all of these Terms, do not use or access the Platform or enroll in the Programs.

1. SCOPE AND APPLICABILITY

1.1 Global Application

Career Amend is registered and operates in the U.S., U.K., India, Australia, and U.A.E. These Terms will apply to you regardless of which of these Territories you access our Platform from, unless local laws or regulations in your jurisdiction require otherwise. You agree that you are responsible for complying with all applicable local, state/provincial, national/federal, and international laws and regulations regarding online conduct and acceptable content.

1.2 Additional Terms

Certain Programs may be subject to additional, specific terms dealing with payments, refunds, deferrals, certifications, or accreditations. In the event of a conflict between these Terms and Program-specific terms, the Program-specific terms will govern to the extent of the conflicting provisions.

1.3 Platform Extensions

These Terms also extend to any Career Amend-hosted or administered mobile apps, WhatsApp groups, Facebook groups, Instagram or other social media pages, email/SMS/phone communications, or any other forums used to support the delivery of the Programs. Some parts of the Platform or communications may be provided by third-party service providers; you agree to abide by such third parties’ terms. Career Amend is not liable for any service disruption caused by such third-party service providers.

1.4 Updates to Terms

Career Amend reserves the right to modify these Terms at any time without prior notice. Changes will be posted on the Platform. By continuing to use the Platform or the Programs after any such changes, you agree to the updated Terms. If at any time you do not accept the revised Terms, you must stop using the Platform and the Programs.

1.5 Geographic Restrictions

Career Amend makes no representation that the Platform or the Programs are appropriate or available for use in every territory or jurisdiction. Accessing the Platform from regions where it is illegal to do so is expressly prohibited. If you choose to access or use the Platform from any such location, you do so on your own initiative and are responsible for compliance with all applicable laws.

2. USER CONDUCT POLICY

2.1 Eligibility

Once you access the Platform or enroll in any Program, you are deemed a “user” under these Terms. You agree to comply with all applicable laws (local, state/provincial, federal/national, and international) in connection with your use of the Platform and the Programs.

2.2 Prohibited Conduct

You shall not, directly or indirectly:

Post, transmit, or promote phishing, pharming, whaling, or any other fraudulent schemes or attempts to obtain personal, confidential, or proprietary information from other users or from Career Amend.
Harass, discriminate, or threaten other users, attendees, Career Amend support agents, or visitors.
Create an atmosphere of disharmony or hostility among other users or students.
Cheat or facilitate cheating in any assignments, homework, tests, or exams within any Program.
Post or share any secured or proprietary Program testing or evaluation materials.
Share or distribute solutions to homework assignments or exams unless expressly permitted by Career Amend.
Violate any code of conduct or academic honesty policies applicable to any Program.

2.3 Reporting and Enforcement

You acknowledge and agree that Career Amend has the right to report any suspicious, illegal, or harmful activity to law enforcement authorities without prior notice to you.
Career Amend may suspend or terminate your access to the Platform or Programs if you violate these Terms.

3. USER ACCOUNTS, REGISTRATION, AND DELIVERY OF SERVICES

3.1 Account Creation

To participate in most Platform activities or to enroll in a Program, you must register for a personal user account (“User Account”) and complete the two-step verification process (e.g., OTP to your phone and/or email confirmation).

3.2 Account Usage

You agree:

Not to share your login credentials or User Account access with any third party.
To maintain only one User Account.
To provide current, accurate, and complete information during registration and keep such information updated.
That Career Amend may terminate your User Account if any provided registration information is found to be false, outdated, or incomplete.

3.3 Access and Delivery

Upon payment of fees (full or partial, depending on the Program), Career Amend will grant you access to the relevant Program and related materials.
If payment is not completed within the stipulated time, Career Amend may withdraw your access to the Program without prior notice.
Career Amend will provide you with an invoice, which may be emailed to you or made available within two (2) months of your payment. This invoice will serve as proof of payment.

3.4 Privacy and Data Use

Career Amend may collect and store personal or performance-related information about you during your enrollment and usage of the Platform or Programs.
By providing your contact details (phone/email), you consent to receive communications (calls, SMS, or emails) from Career Amend or its representatives, including for marketing purposes, for up to 365 days from the date of your registration, even if you have registered under any Do Not Call (DNC), Do Not Disturb (DND), or National Consumer Preference Register (NCPR) service.
Career Amend will handle personal data in accordance with its Privacy Policy and applicable data protection laws in the U.S. (e.g., relevant state privacy laws, federal regulations such as the Gramm-Leach-Bliley Act if applicable), U.K. (Data Protection Act 2018 and UK GDPR), India (Information Technology Act 2000 and rules thereunder), Australia (Privacy Act 1988), and U.A.E. (applicable federal and emirate-specific data protection regulations), where applicable.

4. PAYMENT TERMS AND REFUND POLICY

4.1 Payment Methods

Where a trial window is offered, it is accessible only after full payment, and any refund during the trial window is subject to Career Amend’s discretion and the specific Program’s refund policy.
Once the trial window closes, no refunds will be issued unless otherwise stated in the Program-specific refund policy.

4.2 Pricing & Taxes

The user enrolling in a Program is solely responsible for evaluating the suitability and relevance of a chosen Program.
All fees are non-transferable.
All applicable taxes, including but not limited to GST (India), VAT (U.K., U.A.E.), Sales Tax or other state/federal taxes (U.S.), and GST (Australia), are charged based on your billing address.

4.3 Failed Payments

If you fail to complete payment within the stipulated deadline, Career Amend reserves the right to withdraw your access to the Program.
Any foreign exchange fees or transaction fees associated with your payment are your responsibility. Career Amend does not support all currencies or payment methods in all countries.

4.4 Refund Requests

Each Program may have specific refund terms. You may cancel your enrollment at any time, but refunds (if any) are governed strictly by the applicable Program-specific policy.

5. USE OF PROGRAMS

5.1 Program Modifications

Career Amend may cancel, reschedule, or modify any Program, including live lectures, assignments, or grading weight at its discretion.
Career Amend may limit, suspend, or terminate your use of the Platform or Programs if you violate these Terms.

5.2 No Liability for Disruptions

Career Amend shall not be liable for any unavailability or disruption of the Platform or Program due to events beyond its reasonable control, such as force majeure, wars, epidemics/pandemics, internet failures, or natural disasters.

5.3 Hardware and Software

You are solely responsible for obtaining and maintaining compatible hardware, software, and internet or mobile connections to access and use the Programs. All associated costs (e.g., data charges) are also your responsibility.

6. EDUCATIONAL PARTNERS AND ACCREDITATION

6.1 Not a University

Career Amend is not a university. We offer Programs sometimes in collaboration with recognized Indian and international universities, educational institutions, government bodies, NGOs, or corporations (“Educational Partners”).

6.2 Admission

Enrollment in a Career Amend Program does not constitute admission or registration in any Educational Partner’s institution.

6.3 Certificates and Credentials

Career Amend may, at its discretion, provide a certificate of completion (“Program Certificate”) upon your fulfillment of the Program requirements.
A Program Certificate is not an official academic credential unless explicitly stated and recognized by an Educational Partner.
Academic credit (if any) is solely awarded by the Educational Partner, and such credit is subject to their internal policies and enrollment requirements.

7. CAREER AMEND INTELLECTUAL PROPERTY RIGHTS

7.1 Ownership

• The Platform, the Programs, and all related content (including but not limited to text, videos, quizzes, code, images, audio, software, scripts, graphics, and designs) (“Career Amend Content”) are owned or licensed by Career Amend and are protected by intellectual property laws in the U.S., U.K., India, Australia, U.A.E., and other jurisdictions.

7.2 Trademarks

All trademarks, logos, service marks, and trade names displayed on the Platform or within the Programs (“Career Amend Marks”) are the property of Career Amend.
You must not use any Career Amend Marks in any manner without our express written consent.

7.3 License to Use

Career Amend grants you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Platform and the Programs for non-commercial, personal, and lawful purposes.
You may not copy, reproduce, distribute, transmit, display, sell, license, or otherwise exploit Career Amend Content for any other purpose without our prior written consent.

8. THIRD-PARTY INTELLECTUAL PROPERTY

8.1 Respect for IP

Career Amend respects third-party intellectual property rights and requires all users to do the same. If you believe your IP rights have been infringed on the Platform, please contact us at the address below with:

An electronic or physical signature of the authorized person acting on behalf of the owner.
A clear description of the copyrighted work or IP that is claimed to be infringed.
The exact location (URL) where the infringing material appears.
Your contact details (address, telephone, email).
A statement that you have a good faith belief that the disputed use is not authorized.
A statement, under penalty of perjury, that the information provided is accurate and you are authorized to act on behalf of the owner.

8.2 Infringing Content

Career Amend may remove or disable access to any user content alleged to be infringing.
Users who upload infringing content are liable for any resulting damages or claims.

“User Content” includes any content you submit, upload, post, transmit, or make available on or through the Platform or the Programs (e.g., forum posts, chats, profile pages, project submissions).

9.2 License to Career Amend

You grant Career Amend a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license (with the right to sublicense) to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in any media.
You represent and warrant that you have the rights to grant this license and that your User Content does not violate any third-party rights or laws.

You must not upload or share any User Content that:

Is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.

Contains malicious code, such as viruses, Trojan horses, or similar.

Career Amend reserves the right to remove or delete any User Content at any time for any reason without liability to you.

Attempt to breach or circumvent any security or authentication measures on the Platform.
Probe, scan, or test the vulnerability of the Platform without proper authorization.
Interfere with or disrupt the functioning of the Platform by means such as overloading, flooding, spamming, or mailbombing.
Use or launch any automated system to access the Platform in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.

Violations of system or network security may lead to civil or criminal liability. Career Amend cooperates with law enforcement to ensure that violators are prosecuted to the fullest extent permitted by law in the U.S., U.K., India, Australia, and U.A.E., as applicable.

11. DISCLAIMER

11.1 General Disclaimer

To the fullest extent permitted by applicable law (including but not limited to U.S. state and federal laws, U.K. laws, Indian laws, Australian laws, and U.A.E. laws), the Platform, the Programs, and all Career Amend Content are provided on an “as is” and “as available” basis, with all faults.
Career Amend does not warrant that the Platform or Programs will be uninterrupted, error-free, secure, or virus-free, nor does it warrant the quality, accuracy, or reliability of any information obtained through the Platform or Programs.

11.2 No Warranties

Career Amend disclaims all warranties—express, implied, or statutory—including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing, usage, or trade.

11.3 Local Consumer Laws

Certain jurisdictions (including the U.S., U.K., Australia, and U.A.E.) may provide you with legal rights that cannot be excluded by contract. Nothing in these Terms shall affect any statutory rights that you are entitled to as a consumer under the laws of your jurisdiction.

12. LIMITATION OF LIABILITY

12.1 Exclusion of Certain Damages

To the maximum extent permissible under applicable law, in no event shall Career Amend, its affiliates, employees, agents, officers, directors, or suppliers be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, loss of goodwill, loss of data, business interruption, or intangible losses) arising out of or related to your use or inability to use the Platform or the Programs.

In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, Career Amend’s liability shall be limited to the greatest extent permitted by law.
In no event shall Career Amend’s total liability to you for all claims arising under or relating to these Terms exceed the total amount of fees paid by you to Career Amend for the relevant Program, or USD 100 (or its equivalent in local currency), whichever is greater.

13. LINKS TO THIRD-PARTY SITES

13.1 Linked Sites

The Platform may include hyperlinks to external websites or resources (“Linked Sites”). Career Amend does not control or endorse these Linked Sites, and is not responsible for their availability, content, advertising, products, or other materials.

13.2 No Liability

Career Amend shall not be liable for any damages or losses incurred by you in connection with your use of Linked Sites. You access such Linked Sites at your own risk, subject to their terms and conditions.

13.3 Linking to the Platform

You may not link to the Platform from any other site or application without prior written consent from Career Amend.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Career Amend, its Educational Partners, affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising out of or connected with:

Your use or misuse of the Platform or Programs;
Any breach of these Terms;
Your violation of any applicable law or infringement of any third-party rights (including intellectual property, privacy, or publicity rights); or
Any User Content submitted by you.

15. TERMINATION

15.1 Termination by Career Amend

Career Amend may, in its sole discretion, suspend or terminate your User Account or enrollment in any Program immediately if it determines that you have:

Violated these Terms or any applicable law.
Infringed upon any third-party rights.
Engaged in any unauthorized or fraudulent activities.
Acted inconsistently with the letter or spirit of these Terms.

15.2 Effect of Termination

Upon termination, your right to access the Platform and Programs shall cease immediately.
Career Amend may retain and store your personal information in accordance with its Privacy Policy and applicable data protection laws.

16. GOVERNING LAW AND DISPUTE RESOLUTION

16.1 Governing Law

Depending on your primary residence or the principal place of business of Career Amend entity with which you engage, the following laws will govern these Terms:

United States (U.S.): The laws of the State of [New York or relevant state], and applicable U.S. federal laws.
United Kingdom (U.K.): The laws of England and Wales.
India: The laws of India.
Australia: The laws of the State or Territory in which Career Amend’s Australian entity is registered, and the federal laws of Australia.
U.A.E.: The laws of the U.A.E. (and where applicable, the Emirate-specific laws).

The choice of law does not affect your rights as a consumer under the consumer protection laws of your usual place of residence.

16.2 Dispute Resolution and Arbitration

Amicable Resolution: The parties shall first attempt to resolve disputes by good-faith negotiations.
Arbitration: If the dispute is not resolved amicably, it shall be referred to arbitration, to be conducted in English.

The arbitration shall be conducted under the rules specified by the relevant arbitral institution or the applicable arbitration statute, as amended from time to time.

Enforcement: Any award rendered by the arbitrator shall be final, binding, and may be entered in any court of competent jurisdiction.

16.3 Injunctive Relief

Notwithstanding the above, Career Amend reserves the right to seek immediate injunctive relief in any jurisdiction if it believes that a breach of these Terms infringes or may infringe on its intellectual property rights or the rights of third parties, or otherwise causes irreparable harm.

17. MISCELLANEOUS PROVISIONS

17.1 Age Requirement

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use or enroll in the Programs. If you are below 18, you may use the Platform only with the involvement of a parent or legal guardian who agrees to be bound by these Terms.

17.2 No Waiver

Career Amend’s failure to exercise or enforce any right under these Terms shall not constitute a waiver of any future enforcement of that right.

17.3 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be modified so as to be enforceable, or if modification is not possible, severed, and the remaining provisions shall remain in full force and effect.

17.4 Force Majeure

Career Amend shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of government, or any other force majeure event.

17.5 Entire Agreement

These Terms, along with any Program-specific terms and policies referenced (including the Privacy Policy and other policies posted on the Platform), constitute the entire agreement between you and Career Amend relating to the subject matter and supersede all prior or contemporaneous agreements.

17.6 Assignment

Career Amend may assign or transfer its rights and obligations under these Terms without restriction. You may not assign or transfer any rights or obligations without prior written consent from Career Amend.
